Lufthansa Annual General Meeting approves all agenda items

Some 1,000 shareholders of Deutsche Lufthansa AG attended the company’s Annual General Meeting in Bonn today. The meeting discharged the members of the Executive Board and the Supervisory Board from their responsibility for the conduct of business in 2018 by sizeable majorities. The shareholders also re-elected Ms. Monika Ribar, Chairwoman of the Board of Directors of Schweizerische Bundesbahnen SBB AG, of Rüschlikon (Switzerland), to the Supervisory Board.
The meeting approved the proposal of the Executive and Supervisory Boards that a dividend of EUR 0.80 be distributed for the 2018 financial year. This amounts to a total dividend payment of around EUR 380 million and a dividend yield of around four per cent (based on the closing price of the Lufthansa share the day before the meeting). The dividend will be paid on 10 May 2019.

The change resolved by the Supervisory Board to the remuneration system for the members of the Executive Board was also approved by shareholders with retroactive effect to 1 January 2019. The PricewaterhouseCoopers GmbH was re-elected as the company’s statutory and group auditors for the 2019 business year. The new mandate should also extend to any further auditing required of financial information issued in the course of the year.

The AGM further approved the creation of new share capital (to be used, inter alia, for the distribution of shares to employees) and the adoption of new share acquisition authorizations, with corresponding amendments to the company’s Articles of Incorporation.

The meeting agenda comprised 11 agenda items. The company’s shareholders approved all 11 proposals.
